MEMORANDUM OF LAW IN SUPPORT OF

Re: Smith v. Jones — Motion to Dismiss

I. INTRODUCTION

The undersigned counsel respectfully submits this memorandum of law in support of Defendant's Motion to Dismiss pursuant to Federal Rule of Civil Procedure 12(b)(6). For the reasons set forth herein, Plaintiff's Complaint fails to state a claim upon which relief can be granted and must be dismissed in its entirety.

II. FACTUAL BACKGROUND

Plaintiff initiated this matter on March 1, 2024, alleging breach of contract and seeking damages in excess of $2.5 million. Plaintiff's claims arise out of a commercial agreement entered into by the parties on January 15, 2023. At all relevant times, Defendant performed its obligations under the agreement.

III. STANDARD OF REVIEW

A motion to dismiss pursuant to Rule 12(b)(6) tests the legal sufficiency of the complaint. Bell Atlantic Corp. v. Twombly, 550 U.S. 544, 570 (2007). To survive a motion to dismiss, a complaint must contain sufficient factual matter, accepted as true, to state a claim for relief that is plausible on its face. Ashcroft v. Iqbal, 556 U.S. 662, 678 (2009).

IV. ARGUMENT

A. The Complaint Fails to State a Claim for Breach of Contract

Plaintiff's breach of contract claim must fail because the Complaint does not adequately allege the essential elements required under applicable law. Specifically, Plaintiff has failed to identify a valid and enforceable contract, allege Defendant's material breach, or demonstrate cognizable damages.

B. Plaintiff Lacks Standing to Assert the Claims Alleged

As a threshold matter, Plaintiff lacks standing to pursue the claims asserted in the Complaint. To establish Article III standing, a plaintiff must demonstrate an injury in fact that is concrete and particularized, a causal connection between the injury and the challenged conduct, and redressability. Lujan v. Defenders of Wildlife, 504 U.S. 555, 560 (1992).

V. CONCLUSION

For the foregoing reasons, Defendant respectfully requests that this Court grant the Motion to Dismiss in its entirety and with prejudice, and for such other and further relief as this Court deems just and proper.
